Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services provided by Dyligence LLC ("Dyligence," "we," "us," or "our"). By placing an order, requesting a brief, or otherwise using our services, you ("Client" or "you") agree to be bound by these Terms. If you are accessing our services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
Section 1
Services
Dyligence provides on-demand intelligence briefings on individuals, companies, and market contexts ("Briefs"). Briefs are research-oriented documents compiled from publicly available sources, proprietary research methodology, and human analyst review. Briefs are delivered electronically in PDF or similar format to the email address designated by the Client.
Services are offered exclusively to business entities and professionals acting in a commercial capacity ("B2B Only"). Dyligence does not offer services to individuals acting in a personal or consumer capacity. By using our services, you represent that you are doing so in a professional business context and NOT for the purposes of an employment, lending, or insurance related consumer decision.
Dyligence reserves the right to decline any request at its discretion, including requests that appear to be for personal rather than business purposes, requests that raise legal or ethical concerns, or requests for subjects outside our research capability.
Section 2
Orders and Packs
Briefs are purchased as individual orders or as prepaid credit packs ("Packs"). Pack credits are prepaid and non-refundable once purchased, except as expressly stated in Section 5 (Refunds and Credits). Pack credits are valid for twelve (12) months from the date of purchase unless otherwise stated in writing at the time of purchase.
An order is deemed placed when Dyligence confirms receipt of a properly submitted brief request including all required subject information. Delivery timelines communicated at the time of ordering are estimates and do not constitute a guarantee. Dyligence will use commercially reasonable efforts to meet stated timelines.
All prices are stated in U.S. dollars. Volume discounts reflected in Pack pricing are applied at the time of Pack purchase and are not retroactive to prior orders.
Section 3
Payment
Payment is due at the time of order or Pack purchase. Dyligence accepts payment via the methods made available on the site at the time of checkout. All transactions are processed by Stripe, Inc., a PCI-compliant payment processor; Dyligence does not store full payment card information.
You represent that you are authorized to use the payment method provided. If a payment is declined or reversed, Dyligence may suspend or cancel the associated order and any undelivered Pack credits.
Enterprise and volume arrangements may be invoiced separately under mutually agreed payment terms. Net-30 terms are available to qualified clients upon written agreement.
Section 4
Acceptable Use
You agree that you will NOT use Dyligence services to:
- Investigate any individual for personal, family, or household purposes;
- Engage in stalking, harassment, intimidation, or surveillance of any person;
- Violate any applicable law, regulation, or professional conduct requirement;
- Conduct background checks for employment, credit, housing, insurance, or similar consumer-regulated purposes without compliance with applicable law (including the Fair Credit Reporting Act);
- Resell, redistribute, or sublicense Briefs to third parties without Dyligence's prior written consent;
- Use Briefs as a basis for defamation, harassment, or tortious conduct;
- Use automated means to scrape, harvest, or extract content from our platform or deliverables beyond normal use;
- Misrepresent your identity, affiliation, or purpose when placing a request.
Dyligence reserves the right to terminate access and forfeit any unused Pack credits for violation of these use restrictions, without refund.
Section 5
Refunds and Credits
Delivered Briefs. Once a Brief has been delivered, it is non-refundable. If you believe a delivered Brief contains a material factual error that substantially undermines its usefulness, please contact us at support@dyligence.ai within seven (7) days of delivery. We will review the concern and, at our discretion, issue a credit for a future Brief.
Undelivered Orders. If Dyligence is unable to complete a Brief for any reason (including inability to locate sufficient information, or Dyligence's election to decline the request), the associated credit or payment will be refunded or restored.
Pack Credits. Unused Pack credits are non-refundable for cash but may be applied to any eligible Brief order within the validity period. Expired credits are forfeited without refund.
Discretionary Credits. Dyligence may issue service credits at its sole discretion for service delays or quality concerns. Credits have no cash value and may not be transferred.
Section 6
Intellectual Property
Client Ownership of Delivered Briefs. Upon full payment, Dyligence grants Client a non-exclusive, perpetual license to use the delivered Brief for Client's internal business purposes. Client may share a Brief with its principals, partners, employees, and professional advisors on a need-to-know basis subject to appropriate confidentiality obligations.
Dyligence Retained Rights. Dyligence retains all rights in its research methodology, templates, proprietary processes, software, and any data or information compiled independently of Client requests. No Brief delivery transfers ownership of any Dyligence underlying technology, methodology, or intellectual property.
No Commercial Redistribution. Client may not publish, distribute, sell, or license any Brief to the public or to third parties not affiliated with Client without Dyligence's prior written consent. Attribution to Dyligence is required if a Brief or excerpt is included in any published or distributed work.
Section 7
Confidentiality
Dyligence treats all client requests and associated subject information as confidential. We will not disclose the identity of subjects requested, the fact of a client engagement, or the contents of delivered Briefs to any third party, except: (a) as required by applicable law or legal process; (b) with Client's consent; or (c) to subcontractors and data providers engaged to assist in fulfilling the request, under appropriate confidentiality obligations.
Client agrees to treat non-public information about Dyligence's methodology, pricing structures, and operational practices as confidential.
Section 8
Disclaimer of Warranties
BRIEFS ARE PROVIDED FOR INFORMATIONAL PURPOSES ONLY AND DO NOT CONSTITUTE LEGAL, FINANCIAL, INVESTMENT, OR PROFESSIONAL ADVICE. DYLIGENCE MAKES NO REPRESENTATION OR WARRANTY THAT ANY BRIEF IS COMPLETE, ACCURATE, CURRENT, OR FREE FROM ERROR. INFORMATION IN BRIEFS IS DERIVED FROM PUBLICLY AVAILABLE SOURCES AND MAY BE SUBJECT TO INACCURACIES INHERENT IN THOSE SOURCES.
CLIENT IS RESPONSIBLE FOR INDEPENDENTLY VERIFYING ANY INFORMATION IN A BRIEF BEFORE MAKING DECISIONS BASED UPON IT. DYLIGENCE EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Section 9
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DYLIGENCE'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR ANY BRIEF SHALL NOT EXCEED THE AMOUNT PAID BY CLIENT FOR THE SPECIFIC BRIEF OR PACK GIVING RISE TO THE CLAIM IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
DYLIGENCE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, EVEN IF DYLIGENCE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE.
Section 10
Indemnification
Client agrees to indemnify, defend, and hold harmless Dyligence LLC and its members, officers, agents, and contractors from and against any claims, losses, liabilities, damages, and expenses (including reasonable attorneys' fees) arising from: (a) Client's use of any Brief in violation of these Terms or applicable law; (b) Client's violation of any third party's rights; or (c) Client's misrepresentation of its identity, purpose, or authority.
Section 11
Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or our services that cannot be resolved informally shall be submitted to binding arbitration in Sheridan County, Wyoming, under the rules of the American Arbitration Association, with proceedings conducted in English.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm. The parties waive any right to a jury trial in connection with any action or litigation arising out of or relating to these Terms.
Section 12
Modifications
Dyligence reserves the right to modify these Terms at any time. Changes will be posted to this page with an updated effective date. Continued use of our services after changes are posted constitutes acceptance of the revised Terms. Material changes will be notified to active clients by email where practicable.
Section 13
General
These Terms, together with any order confirmation and applicable Pack terms, constitute the entire agreement between Client and Dyligence with respect to the subject matter hereof and supersede all prior agreements and understandings. If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force. Dyligence's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
